By accessing or using sochlabs.ai (the "Website") or engaging SochLabs for any services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Website or services. These terms govern your use of our website and any service agreements entered into with SochLabs.

SochLabs provides AI consulting, chatbot development, automation systems, AI-powered website development, and AI strategy services ("Services"). The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any part of our services with reasonable notice.

• Our content: All website content, branding, design, and proprietary tools created by SochLabs remain our intellectual property unless explicitly transferred in writing.
• Client deliverables: Upon full payment, intellectual property rights for custom deliverables created specifically for a client transfer to that client, unless otherwise agreed in the SOW.
• Third-party tools: Deliverables incorporating third-party software, APIs, or models are subject to those providers' respective licenses.

• Payment terms will be specified in each project agreement
• Standard projects require a 50% advance before work commences
• Final payment is due within 7 days of project delivery
• Late payments may attract an interest charge of 2% per month
• All prices are exclusive of applicable taxes (GST)

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. SochLabs will not disclose your business information, data, or project details to third parties without your written consent, except where required by law.

SochLabs' total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages including loss of profits, data, or business opportunities.

AI systems we build are tools to assist decision-making — final business decisions remain the client's responsibility.

We warrant that our services will be performed professionally and with reasonable skill. However, we do not warrant that:

• AI outputs will be 100% accurate or error-free
• Services will meet every specific business outcome
• Third-party platforms or APIs integrated will remain available

The Website is provided "as is" without warranties of any kind.

Either party may terminate a service agreement with 14 days' written notice. Work completed up to the termination date will be invoiced and payable. SochLabs may terminate immediately in cases of non-payment, breach of confidentiality, or conduct that violates applicable laws.

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India. We encourage resolving disputes through good-faith discussion before any legal proceedings.

We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the Website or our services after changes constitutes acceptance.
